Terms of Service
The terms that govern your use of Black Nile — your account and content, AI outputs, subscriptions and credits, publishing, and acceptable use.

Agreement to these terms
These Terms of Service (the “Terms”) are a legal agreement between you and Black Nile and govern your access to and use of the Black Nile platform, websites, and related services (the “Service”). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
You must be at least 18 years old (or the age of majority where you live) and able to form a binding contract. If you use the Service on behalf of a business or other entity, you represent that you are authorized to bind it, and “you” refers to that entity.
The Service and your account
Black Nile helps you generate, publish, and operate websites and related business features using AI assistance and templates. Features, limits, and availability may change over time, and some features are gated by plan.
You are responsible for your account and for keeping your credentials secure. You are responsible for all activity under your account. Notify us promptly at hello@blacknile.app if you suspect unauthorized use.
Your content and license
You retain ownership of the content you provide — your business information, text, images, logos, products, and other materials (“Your Content”). You represent that you have the rights necessary to provide Your Content and that it does not infringe others’ rights or violate the law.
You grant Black Nile a worldwide, non-exclusive license to host, store, reproduce, modify (for example, to format or resize), display, and distribute Your Content solely to operate and improve the Service and to publish your website as you direct. This license ends when you delete the content or your account, except for content already published, cached, or retained as required by law or for backups.
You are solely responsible for the content you publish and for ensuring it is accurate, lawful, and appropriate for your audience and industry.
AI-generated output
The Service uses AI to help produce websites, copy, images, drafts, reports, and similar outputs based on your input. AI output can be inaccurate, incomplete, or unsuitable, and may resemble output provided to others. You are responsible for reviewing, editing, and approving any output before you rely on or publish it.
AI output is not professional advice (including legal, medical, financial, or tax advice). You must confirm any factual claim, price, credential, guarantee, or regulated statement before publishing it. To the extent permitted by law, and as between you and Black Nile, you may use the outputs generated for your account for your business, subject to these Terms and applicable third-party rights.
Acceptable use
You agree not to use the Service to: break the law or infringe intellectual property, privacy, or other rights; publish content that is fraudulent, deceptive, defamatory, harassing, hateful, sexually exploitative, or otherwise harmful; send spam or unlawful communications; upload malware or attempt to disrupt, probe, or gain unauthorized access to the Service; scrape or misuse the Service or others’ data; make false earnings, health, or other claims; or impersonate any person or business.
You must comply with all laws that apply to your business and content, including consumer-protection, advertising, email (such as CAN-SPAM), consent, and industry-specific rules. We may remove content, suspend features, or terminate accounts that violate these Terms or create legal or security risk.
Plans, credits, payments, and renewals
Paid plans are billed in advance on a recurring basis through Stripe until canceled. By subscribing, you authorize recurring charges to your payment method. Prices, plan limits, and credit allowances are shown in the app and may change on a going-forward basis with notice.
Credits meter certain AI actions. Credits are consumed when actions run and, except as expressly stated, do not have cash value and are non-transferable outside the tools we provide. Plan allowances refresh each billing period and do not roll over unless stated.
You can cancel at any time; cancellation takes effect at the end of the current billing period, and paid features may be reduced or paused after that. Except where required by law or expressly stated, payments and purchased credits are non-refundable.
If a payment fails, we may attempt to recharge it and may downgrade, pause, or limit paid features (including custom domains and additional live sites) until payment succeeds. Your content is retained subject to our Privacy Policy and these Terms.
Publishing, domains, and third-party services
Free sites are published on a Black Nile subdomain. Paid plans may connect a custom domain you control; you are responsible for your domain registration and for the content served on it. Some features rely on third-party services (for example, payment processing, email delivery, or domain registrars), and your use of those is also subject to their terms.
You are responsible for the legality and appropriateness of what you publish and sell, for fulfilling your customers’ orders and requests, and for handling your customers’ data in compliance with law.
No earnings or results guarantee
Black Nile does not promise, guarantee, or predict any income, revenue, sales, leads, traffic, or business results. Any examples, scenarios, or illustrations are hypothetical, are not typical, and are not a promise of what you will earn. Your results depend on many factors outside our control, including your offer, effort, market, pricing, and execution.
Disclaimers and limitation of liability
The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted or error-free operation, to the fullest extent permitted by law.
To the fullest extent permitted by law, Black Nile and its suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, or goodwill. Our total liability for any claim relating to the Service is limited to the amount you paid us for the Service in the three months before the event giving rise to the claim.
Indemnification, termination, and changes
You agree to indemnify and hold Black Nile harmless from claims, losses, and expenses arising from Your Content, your use of the Service, your products and services, or your violation of these Terms or the law.
You may stop using the Service and delete your account at any time. We may suspend or terminate access if you violate these Terms or create risk to the Service or others. Provisions that by their nature should survive termination (such as content licenses already exercised, payment obligations, disclaimers, and limitations of liability) will survive.
We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date and, where appropriate, provide additional notice. Your continued use after an update means you accept the revised Terms.
Governing law and contact
These Terms are governed by the laws of the State of Georgia, United States, without regard to conflict-of-laws rules. You and Black Nile agree to the exclusive jurisdiction of the state and federal courts located in Georgia for any dispute not subject to arbitration or small-claims resolution, unless applicable law requires otherwise.
